Description of Information or Material Facts<\/h4>\n

This Information Disclosure is made to follow up on the Information Disclosure submitted by the Company to OJK through Letter No. 33\/DIR-AK\/VI\/2016 dated 28 June 2016 (\u201cPreliminary Information Disclosure\u201d)<\/strong> regarding negotiation conducted by several shareholders of the Company in connection with the proposed acquisition of the Company as stipulated under Bapepam-LK Regulation No. IX.H.1 concerning Acquisition of Public Company (\u201cRegulation IX.H.1\u201d).<\/strong><\/p>\n

\u00a0Reason of the Change of Control<\/h4>\n

Fairfax Asia Limited, a company incorporated under the laws of Barbados and having its registered address at #12 Pine Commercial, The Pine, St. Michael BB11103Barbados (\u201cFairfax Asia\u201d)<\/strong> has completed the proposed purchase of 4,001,242,013 shares in the Company,representing 80% (eighty percent) of the paid-up capital of the Company from PT PaninvestTbk. (\u201cPaninvest\u201d),<\/strong> Dana Pensiun Karyawan PT Bank Pan Indonesia Bank, PT PaninGeninholdcodan PT Panin Financial Tbk. as described in the Preliminary Information Disclosure.<\/p>\n

The sale and purchase shares was completed by the execution of Deed No. [*] dated [*], made before , S.H., Notary in (the \u201cAcquisition Transaction\u201d<\/strong>).<\/p>\n

The New Controlling Party<\/h4>\n

The controlling party of the Company prior to the completion of the Acquisition Transaction was Paninvest., a public limited liability company incorporated under the laws of Republic of Indonesia and domiciled in West Jakarta, which previously owned 55.61%of the shares in the Company.<\/p>\n

That the Acquisition Transaction have been completed, the new controlling party of the Company is Fairfax Asia.<\/p>\n

Affiliate Relationship<\/h4>\n

There are no affiliate relationships between Paninvest and Fairfax Asia.<\/p>\n

The impact of such event, information or material facts towards operational activities, legal, financial condition, or business continuity of the Issuer or Public Company<\/h4>\n

As mentioned in the Preliminary Information Disclosure, there are no changes in the Company’s business activities at the time Fairfax Asia becomes the new controller. The Company shall continue to perform its business in the field of general insurance.<\/p>\n

Fairfax Asiais expected to improve the operational activities of the Company, especially in increasing the number of high quality and tailor made insurance products in line with customer demands, increase productivity of various distribution channels, and introduce best practices in terms of risk management.<\/p>\n

Other Information<\/h4>\n

In relation to the Acquisition Transaction, Fairfax Asia has made an announcement on the Acquisition Transaction in Bisnis Indonesia on 11 October 2016 in accordance with the provisions of Rule IX.H.1.<\/p>\n
